                                 企业合法破产,路在何方?

    日益严峻的经济形势加上无法偿还高利贷的困境使得浙江温州的许多企业越来越举步维艰,很多企业主不得不选择放弃经营多年的企业。可以说非法高利贷的存在成为了他们的一夜噩梦。
    在相关部门最近的一次调查统计中,我们发现至少有将近90家的温州企业老板选择了弃之不理的逃避方式,并且老板本人也消失得无影无踪。我们预计等到这一切都尘埃落定时,法院受理企业破产案件的数量必然会大幅度飙升。
    很巧的是,几个月前最高人民法院(以下简称“最高院”)针对2007年6月1日生效的《企业破产法》发布了迄今为止的第一个司法解释。对中国司法制度不熟悉的人可能无法体会到中国司法解释的实际效力,实际上最高院发布的司法解释,任何低级法院都必须严格遵守而不得有误。虽然中国没有判例法传统,但依据相关法律的规定,司法解释具有确定无疑的司法效力。
    那么在中国破产法的语境下,究竟企业满足何种条件就可合法申请破产呢?《企业破产法》的规定是企业法人不能清偿到期债务,并且资产不足以清偿全部债务或者明显缺乏清偿能力的,依照本法规定清理债务,予以破产处理。但对于何为“不能清偿到期债务”、“资不抵债”、“明显缺乏清偿能力”该法却未详尽论述。庆幸的是最近发布的司法解释对这一遗憾进行了弥补。以下对相关解释予以介绍:

不能清偿到期债务
    该司法解释对“不能清偿到期债务”的具体情形进行了以下明确:即下列情形同时存在的,人民法院应当认定债务人不能清偿到期债务:(一)债权债务关系依法成立;(二)债务履行期限已经届满;(三)债务人未完全清偿债务。

资不抵债
    何为资不抵债,司法解释在予以明确的同时还给我们留下了一个例外的规定:如果债务人的资产负债表,或者审计报告、资产评估报告等显示其全部资产不足以偿付全部负债的,人民法院应当认定债务人资产不足以清偿全部债务,但有相反证据足以证明债务人资产能够偿付全部负债的除外。

明显缺乏清偿能力
    根据以上论述是否意味着当一个企业不具备资不抵债的外在表现时就可被认定为不符合破产清算的条件呢?答案是否定的。司法解释认为即使以上情况存在,只要该企业满足以下条件被认定为明显缺乏清偿能力时亦构成破产清算的法定事由:(一)因资金严重不足或者财产不能变现等原因,无法清偿债务;(二)法定代表人下落不明且无其他人员负责管理财产,无法清偿债务;(三)经人民法院强制执行,无法清偿债务;(四)长期亏损且经营扭亏困难,无法清偿债务; (五)导致债务人丧失清偿能力的其他情形。

加强对下级法院的监督
    除了对企业破产的相关法定条件进行了明确外,该司法解释也为企业破产提供了相应的执行机制。目前很多满足法定破产条件的企业苦于法院对于破产案件经常不愿意受理。该司法解释明确了在一审法院拒绝受理企业破产申请时,相关企业可以向更高一级的法院申请重审。这一机制对应付目前存在的现实问题起到了非常重要的作用,对如何解决一审法院不愿意受理的难题予以了回应。要知道,当相关企业破产无门时,谁还会去理会合法的、负责任的企业终结方式?这样一来也无形中给国家经济大局注入了众多不稳定因素。

    为加快退税进度,提高纳税人资金使用效率,日前,税务总局发布该公告决定主要从以下几方面调整增值税管理措施:
一、将增值税即征即退优惠政策的管理措施由先评估后退税改为先退税后评估。
二、主管税务机关应进一步加强对即征即退企业增值税退税的事后管理,根据相关指标定期开展纳税评估。
三、各地可根据不同的即征即退项目设计完善评估指标。主管税务机关通过纳税评估发现企业异常情况的,应及时核实原因并按相关规定处理。

    为规范期货公司营业部的经营活动,日前,中国证监会发布了该规定对期货营业部的设立、内部控制等问题作了具体要求:
一、《规定》明确了期货营业部应当具备满足期货业务需要的营业场所:营业场所属于产权清晰、使用权稳定的经营性房产,且期货公司拥有该房产所有权或者使用权证明。
二、《规定》明确了期货公司应完善营业部内控制度,完善各项管理、应急、回访、投诉处理、反洗钱等制度。

发改委反价格垄断提速每年调查一重点行业

     11月9日,国家发改委宣布,正在调查中国电信和中国联通涉嫌宽带接入领域垄断问题——这是2008年《反垄断法》生效以来查处的第一起涉及央企的反垄断案件。
在业界看来,国家发改委此次以反价格垄断之名拿通信行业的两大巨头开刀,实际上折射了国家发改委在价格监管工作方向的转舵:从过去价格监管向反价格垄断升级。
目前,除国家发改委价格监督检查与反垄断局外,中国另两家反垄断执法机构分别为商务部反垄断局和国家工商总局反垄断与反不正当竞争执法局。
三家机构的主要职责各有不同:国家发改委负责依法查处价格垄断行为;商务部负责经营者集中行为的反垄断审查;国家工商总局则负责垄断协议、滥用市场支配地位、滥用行政权力排除限制竞争的反垄断执法(价格垄断协议除外)等方面工作。
在国家发改委今年初下发的工作方案中,还提到每年将选择一个重点行业开展有针对性的反价格垄断调查,预防和制止价格垄断行为,同时建立健全不同行业经营方式、经营特点、价格变化等信息采集制度,及时发现和此外,国家发改委还要求地方发改委建立和行业协会的沟通机制,预防和制止行业协会组织本行业经营者达成价格垄断协议等垄断行为。

Enterprise looking to file for bankruptcy-where to go?
 

         There has been a rash of factory and business owners abandoning their companies in Wenzhou, Zhejiang, as a result of rampant usurious loans in the local business communities that severely hampered those businesses’ ability to service those high interest non-standard (mostly illegal) loans, as well as increasingly challenging business operational environment.
         In fact, at last count at least 90 Wenzhou business owners have decided to abandon their businesses and skipped town. Once the dust settles over the initial business abandonments, there will be a noticeable increase in bankruptcy filings with local Chinese courts.
        Ironically, a couple of months ago China’s Supreme People’s Court (the “Court”) issued its first judicial interpretation relating to China’s Enterprise Bankruptcy Law, which came into effect on June 1st, 2007. (For those unfamiliar with the significance of the Supreme People’s Court’s judicial interpretations, they are general legal rules and principles that all lower courts in China must follow when hearing and adjudicating cases. Although the Chinese judicial system does not adopt case precedent system, these types of judicial interpretation are in effect laws thanks to statutory empowerment).
        Under China’s bankruptcy regime, a business may file for bankruptcy if it loses the ability to pay off debts as they become due and (1) its assets are insufficient to discharge all of its debts or if (2) it clearly lacks the capacity to discharge such debts.


“Losing ability to pay off debts”
       In the interpretations issued relating to bankruptcy laws, the Court clarifies the meaning of “losing the ability to pay off debts as they become due” to include situations where a debt relationship is established, has matured and debtor is unable to pay off entire debt owed.

“Assets insufficient to discharge debts”
       The Court then establishes a rebuttable presumption that a company’s “assets are insufficient to discharge all of its debts” if its balance sheet, auditing report or asset appraisal report indicates all of assets are insufficient to pay off all of its debts.

“Lacks capacity to discharge debts”
       The Court further explains that even if ostensibly the debtor company’s assets are greater than its debts, a company will be deemed to “clearly lack the capacity to discharge all of its debts” if i) there is a severe cash flow shortage or company assets cannot readily be converted into cash; ii) its legal representative is missing and there is no other person available to manage company assets; iii) people’s court’s judgment execution has caused company to lose the ability to pay off debts; iv) it has sustained long term business losses and will be difficult to reverse operating losses; or v) other circumstances leading to the debtor’s inability to pay off debts.

Increase lower court supervision
       In addition to clarifying circumstances or events permitting companies to apply for bankruptcy filing, the interpretations also provided a mechanism by which a bankruptcy applicant may take its bankruptcy application to an upper level court for reconsideration if trial court refuses to hear the applicant’s bankruptcy application.
       This approach acts as a deterrence and countermeasure to trial court’s often seen reluctance in accepting bankruptcy filings. Through the interpretations, the Court attempts to resolve a current problem stemming from lower courts’ unwillingness to accept bankruptcy filings. The reality on the ground is that if legitimate bankruptcy applications are rejected, this will steer away trouble businesses from winding down unsuccessful businesses responsibly and leads to company abandonment which will further disrupt economic order.

To accelerate the tax rebate process and improve the efficiency of taxpayer’s fund utilization, the State Administration of Taxation issues this announcement to adjust the management measures of the VAT as following:
(1) Modify the management measures of the Instant Refund VAT Preferential Policy from “assessment first, rebate later” to “rebate first, assessment later” ;
(2) Tax authorities should further strengthen the subsequent management of related Instant Refund VAT enterprises and perform regular assessments according to the relevant tax index.
(3) Different regions can perfect the evaluation index according to different design of the instant refund policy. Tax authorities must verify the reasons in a timely manner and handle it according to relevant regulations when they find some abnormal situations about related enterprises form using tax assessments.

To regulate the business activities of sales department in futures companies, the State Securities Regulatory Commission recently issued this provision concerning the establishment and internal control of futures sales department:
(1) Sales department of futures must have in place business establishments consistent with the futures business needs. That means the property rights and the rights to use of the place of business must be clear and stable and also the futures company possess relevant certificate demonstrating such.
(2) Internal control system of sales department must also be perfected to include systems of management, emergency response, return visits, complaint handling and anti-money laundering.

 

National Development and Reform Commission (Commission) Accelerates its Anti-Monopoly Investigation Through Conducting an Annual Inspection of At Least One Important Industry

       The Commission announced on November 9th that it is currently investigating China Telecom and China Unicom for their alleged monopolistic business practices in the Internet broadband domain access issue – this is the first anti-monopolistic case against an state-owned enterprise since the coming into force of the 2008 Anti-Monopoly Law.
    From industry’s perspective, the Commission’s current investigation against the two biggest industry players reflects a shift in its supervisory work from price supervision to anti-monopoly control.
    Currently, in addition to the Commission supervising price control and investigation, the other two anti-monopoly enforcement agencies are Ministry of Commerce’s Anti-Monopoly Bureau and State Administration of Industry and Commerce’s Anti-Monopoly and Anti-Unfair Competition Enforcement Bureau.
    These three agencies have different administrative mandate: The Commission is responsible for investigating price monopoly actions; the Ministry of Commerce is responsible for investigating anti-monopolistic actions by concentrated business operators; the State Administration of Industry and Commerce is responsible for monopolistic agreements, abuse of dominant market position, abuse of administrative powers to restrict competition (other than price monopoly agreements).
    In a work proposal released by the Commission for the second half of this year, the proposal indicated that the Commission will select one key industry every year to launch a pointed anti-price monopoly investigation to prevent and stop price monopoly actions. The proposal also alluded to plans for establishing sound operating methods for different industries, creating unique operating features, price change and other information. The Commission also requested that local Commission offices to set up communication channels with industry associations to prevent and stop industry associations from organizing efforts with industry operators to create price monopoly agreement and other monopolistic actions.

To regulate and strengthen the administrative law enforcement supervision concerning population and family plan and to ensure the correct implementation of laws and regulations and protect the legitimate rights and interests of the citizens ,legal person and other organizations, the National Population and Family Planning Commission recently issued this notice requiring administrative enforcement supervision must adhere to the principles of lawfulness, objectivity, fairness and mistake correction. Specific supervision guidelines are as follows:
(1) administrative enforcement body should be legitimate;
(2) laws and regulations must be legitimate;
(3) the specific administrative acts should be legitimate;
(4) systems like administrative law enforcement responsibility, system of administrative law enforcement openness and fault accountability must be implemented.
